Scope and Agreement

These Terms of Service (“Terms”) apply to every service supplied by WLX Limited (“WLX”, “we”, “us”, or “our”), including dedicated servers, bare-metal and GPU systems, IP address use, ASN and LIR coordination, BGP and routing assistance, bandwidth, IP transit, colocation, remote hands, and related infrastructure or professional services.

By creating an account, submitting or paying an order, accepting a quotation, using a service, or renewing a service, you (“Customer”, “you”, or “your”) agree to these Terms and the policies and service documents referenced in your order.

The following order of precedence applies where documents conflict: (1) a written agreement signed by both parties; (2) the applicable quotation, order form, or service-level agreement; (3) the service description and Acceptable Use Policy; and (4) these Terms. A document prevails only to the extent of the conflict.

You must be at least 18 years old and legally able to contract. If you act for an organization, you confirm that you are authorized to bind it. Nothing in these Terms limits a right that cannot lawfully be excluded.

Accounts, Verification, and Orders

You must provide complete, accurate, and current account, billing, ownership, contact, abuse, and service-use information. WLX may request identity, business registration, beneficial ownership, source-of-funds, network-use, routing, sanctions, KYC, or KYB documents before or during service.

You are responsible for securing your credentials, enabling available security controls, and all activity performed through your account, API keys, users, services, and assigned resources. Notify WLX promptly of unauthorized access or a material security incident.

An order is an offer to purchase service. A contract is formed only when WLX accepts the order or confirms provisioning. Payment, a website stock indicator, or an automated acknowledgement does not by itself guarantee acceptance, inventory, registry approval, routing, or a delivery time. WLX may reject, hold, cancel, or request changes to an order for technical, inventory, compliance, fraud, security, registry, upstream, or operational reasons. Any amount collected for a rejected order will be returned, less any non-recoverable third-party charge permitted by law and disclosed to you.

Services and Provisioning

Service specifications, location, billing period, port speed, traffic allowance, IP resources, setup charges, estimated delivery, support level, and any minimum term are those shown in the accepted order or quotation.

Unless expressly described as managed, services are unmanaged. You administer the operating system, applications, licenses, users, firewall, routing policy, security, monitoring, and backups. WLX may provide installation or remote assistance, but doing so does not convert an unmanaged service into a managed service.

Provisioning and repair times displayed on the website are estimates, not service-level commitments, unless incorporated into a written SLA. WLX may use an equivalent or better component, carrier, route, facility, or technical design where reasonably necessary, provided the material service characteristics are not substantially reduced.

Dedicated Servers and Hardware

A dedicated server gives you exclusive use of the allocated physical system for the service term; it does not transfer ownership of the hardware. You may not remove, resell, physically alter, firmware-modify, or interfere with WLX-owned equipment without written approval.

You are responsible for your data, operating system, applications, access control, software licensing, and configuration. IPMI, KVM, rescue systems, and reinstall tools are provided for administration and may be restricted during maintenance or a security incident.

If WLX-owned hardware fails, WLX will use commercially reasonable efforts to repair or replace the affected component or system. Replacement parts may be equivalent or better and device identifiers may change. Hardware replacement does not guarantee data recovery. You must maintain independent, tested backups outside the affected server.

GPU availability, accelerator compatibility, benchmark results, and application performance depend on drivers, software, thermal limits, workload, and configuration. Published examples or benchmark references are illustrative and are not performance guarantees.

IP Addresses, ASN, and LIR Services

Internet number resources are shared, policy-governed resources. A service described as IP “rental” or “lease” grants only a limited, revocable right to use the specified resources during the paid service term. It is not a sale, transfer of title, or guarantee of permanent registration.

ASN registration, sponsoring-LIR service, IPv4 or IPv6 assignment, registry updates, LOA, reverse DNS, WHOIS/RDAP, IRR, and RPKI assistance are coordination services. Approval and timing remain subject to the applicable RIR, NIR, LIR, registry, upstream provider, and their current policies. WLX does not guarantee that an application will be approved or completed by a particular date.

You must provide truthful and current organization, contact, routing, technical-need, and end-user information; sign any required registry or sponsoring agreement; respond to validation requests; and pay renewal or registry-related fees when due. You authorize WLX to submit necessary information and instructions to relevant registries and network partners for the requested service.

You must not sell, sublease, sub-assign, announce, transfer, create route or RPKI objects for, or permit third-party use of resources except as expressly authorized in writing. You remain responsible for traffic, abuse, routing objects, downstream users, and public registration data associated with the resources.

WLX does not guarantee global routability, acceptance by every network, geolocation, reputation, deliverability, absence from third-party blocklists, or continued availability of a specific prefix or ASN. WLX may renumber, withdraw, suspend, or require return of resources due to non-payment, abuse, registry or upstream policy, inaccurate records, routing security, legal requirement, or termination. Where practicable, WLX will give reasonable notice of a non-urgent renumbering.

Network, Bandwidth, and Traffic

Port speed is the maximum interface rate and is not a promise of continuous end-to-end throughput. Actual throughput, latency, packet loss, and route selection vary with destination, protocol, congestion, peering, upstream networks, attacks, and Internet conditions outside WLX’s control.

Traffic allowances, committed data rates, burst terms, overage prices, and any 95th-percentile method are stated in the order. WLX’s network measurements will be used for billing and enforcement unless you demonstrate a manifest measurement error. “Unlimited” or “unmetered” means that no usage-based fee applies under the stated plan; it remains subject to the port rate, fair use, network integrity, and these Terms.

WLX may perform traffic engineering, filtering, rate limiting, blackholing, null-routing, or DDoS mitigation to protect the network and other customers. DDoS protection reduces risk but does not guarantee that every attack will be absorbed or that a service will remain reachable.

For BYOIP or BYOASN service, you must prove authority to use and announce the resources, maintain accurate ROA, IRR, and contact data where applicable, and immediately notify WLX if that authority changes. WLX may reject or withdraw an announcement that is invalid, unsafe, unauthorized, or inconsistent with routing policy.

Colocation and Customer Equipment

You retain ownership and risk in customer-owned equipment and are responsible for safe configuration, labeling, insurance, backups, and compliance with facility rules, power limits, cabling standards, access controls, and remote-hands procedures.

WLX may refuse installation or disconnect equipment that presents a safety, power, cooling, security, legal, or network risk. Facility access and remote hands require authorization and may incur charges. WLX is not responsible for data or configuration stored on customer equipment except for loss directly caused by WLX’s proven gross negligence or willful misconduct.

After termination, you must pay all charges and remove equipment within the period stated in WLX’s notice. Storage, handling, return shipping, remote hands, disposal, and continued space or power charges may apply. Unclaimed equipment may be handled in accordance with applicable law after reasonable notice.

Acceptable Use

You must not use or permit the services for unlawful, abusive, harmful, deceptive, infringing, or network-disruptive activity, including:

  1. unauthorized access, credential theft, exploitation, third-party scanning without permission, malware, ransomware, botnets, phishing, spoofing, or command-and-control activity;
  2. DDoS attacks, amplification, unauthorized stress testing, traffic manipulation, route hijacking, IP spoofing, or false BGP, IRR, RPKI, WHOIS, or RDAP information;
  3. unsolicited bulk messages, spam, snowshoe mailing, mail bombing, open relays, open proxies, or services primarily intended to conceal abusive activity;
  4. illegal content, child sexual abuse material, terrorist content, stolen data, counterfeit goods, fraud, or infringement of intellectual property, privacy, or other rights;
  5. activity that causes blocklisting, repeated complaints, excessive power or network load, facility risk, or material harm to WLX, its suppliers, other customers, or third parties.

Public proxies, VPN services, Tor exits, mass crawling, cryptocurrency mining, high-load computing, security testing, and similar higher-risk uses require compliance with the applicable plan and may require prior written approval. You are responsible for your users, customers, contractors, and downstream networks.

Security and Abuse Response

You must maintain reasonable patches, access controls, credential security, monitoring, contact information, and incident-response procedures. You must promptly investigate and remediate complaints relating to your service and cooperate with reasonable WLX requests.

Where WLX reasonably believes there is abuse, compromise, legal risk, routing risk, or danger to infrastructure, WLX may investigate, preserve relevant records, filter, rate-limit, null-route, isolate, suspend, or disconnect the affected service. Urgent action may occur without prior notice. WLX will limit action to what it reasonably considers necessary and will restore service when the risk is resolved and applicable conditions are met.

Administrative, investigation, mitigation, cleanup, replacement-IP, or reconnection fees apply only where stated in the service description, order, published fee schedule, or a notice accepted by you, or where reasonably incurred because of your breach.

Fees, Billing, and Renewal

Fees are those stated in the order, quotation, invoice, or accepted change request. Recurring services are billed in advance unless stated otherwise; usage, overage, power, remote hands, registry, and third-party charges may be billed in arrears.

Recurring service continues for successive billing periods until cancelled in accordance with Section 11. An invoice or renewal notice may be issued before the renewal date. You must ensure cleared payment is received by the due date and keep a valid payment method where automatic payment is enabled.

You are responsible for applicable taxes, duties, withholding, bank charges, payment-processor charges, and currency-conversion costs, except taxes on WLX’s net income. If withholding is legally required, you must provide official evidence and, where permitted, gross up the payment so WLX receives the invoiced amount.

Late, failed, reversed, fraudulent, or disputed payment may result in suspension, collection action, loss of promotional pricing, or refusal of further service. A chargeback does not cancel the underlying debt. Billing disputes must be raised promptly with the invoice number and supporting information.

Cancellation, Refunds, and Credits

You must submit cancellation through the customer portal or another method expressly approved by WLX before the renewal deadline shown for the service. Stopping use, removing content, or cancelling a payment instruction does not cancel the service.

Except where required by law or expressly offered in writing, payments are non-refundable once provisioning or third-party processing begins. This includes setup charges, custom or special-order hardware, delivered dedicated servers, IP resource use, registry and sponsoring-LIR work, ASN applications, bandwidth, overages, colocation, remote hands, and partially used billing periods. WLX does not offer an unconditional change-of-mind refund.

A credit or refund for service unavailability is available only under an applicable written SLA or an express written commitment. A valid claim must be submitted within the stated claim period. Service credit is the exclusive remedy for the qualifying SLA event, subject to rights that cannot lawfully be excluded.

Suspension and Termination

WLX may suspend, restrict, or terminate a service for non-payment; breach of these Terms; false or unverifiable information; abuse; security or routing risk; sanctions or legal restrictions; a binding request from a court, authority, registry, upstream, or facility; or where continuing service may materially harm WLX or another party.

WLX will provide notice and a reasonable opportunity to remedy where practicable. No cure period is required for urgent security or abuse events, fraud, repeated breach, legal prohibition, or a risk that cannot reasonably be contained.

On termination, your right to use the service and WLX-provided resources ends. IP addresses, routing authorization, licenses, and access credentials must be returned or cease immediately. Customer data may be deleted without recovery after termination or expiry; you must export data beforehand. Termination does not cancel accrued charges or provisions intended to survive.

Support, Maintenance, and Backups

Official support is provided through the customer portal, ticket system, or another channel stated by WLX. Response targets are estimates unless part of a written SLA. Priority, after-hours, remote-hands, migration, recovery, and professional services may incur additional fees.

WLX may perform scheduled or emergency maintenance, upgrades, migrations, security work, network changes, or component replacement. Advance notice will be given for scheduled work where practicable; emergency work may be performed without notice.

Unless you purchase a specifically described backup service, WLX does not back up customer data. Even where a backup product is supplied, you remain responsible for independent backups and restoration testing. WLX does not guarantee recovery after deletion, compromise, hardware failure, suspension, or termination.

Third-Party Dependencies and Availability

Services may depend on datacenters, carriers, upstreams, Internet exchanges, RIRs, NIRs, LIR partners, registries, hardware and software vendors, payment processors, and other suppliers. Their decisions, policies, maintenance, outages, and lead times may affect service.

Except for an express written SLA, services are provided “as is” and “as available”. WLX does not promise uninterrupted or error-free operation, universal routing, a particular latency, compatibility with every application, immunity from attack, or any registry or third-party result.

WLX is not responsible for delay or failure caused by a third party outside WLX’s reasonable control, but will use commercially reasonable efforts to coordinate restoration or an available alternative.

Intellectual Property and Confidentiality

WLX retains all rights in its website, brand, documentation, software, automation, management platform, network design, and other intellectual property. You receive only the limited rights required to use the purchased service during its term.

You retain rights in your data and content. You grant WLX a limited right to host, transmit, copy, access, and process them only as reasonably necessary to provision, secure, support, bill, investigate, and operate the service or comply with law.

Each party must protect non-public technical, commercial, security, and customer information received from the other using reasonable care and use it only for the agreement. This duty does not cover information that is public without breach, already lawfully known, independently developed, lawfully received from another source, or required to be disclosed by law.

Liability and Indemnity

To the maximum extent permitted by law, WLX is not liable for indirect, incidental, special, punitive, exemplary, consequential, or economic loss, including lost profit, revenue, business, goodwill, customers, data, or the cost of substitute service.

Except for liability that cannot lawfully be limited, WLX’s total liability arising from an affected service will not exceed the fees you paid WLX for that service during the three months immediately before the event giving rise to the claim. Nothing excludes liability for fraud, willful misconduct, death or personal injury caused by negligence, or another liability that cannot be excluded.

You will indemnify WLX and its personnel and suppliers against third-party claims, penalties, losses, and reasonable costs arising from your content, equipment, traffic, routing, users, breach of law, infringement of rights, or breach of these Terms, except to the extent caused by WLX’s own breach, gross negligence, or willful misconduct.

Compliance and Force Majeure

You must comply with applicable law, sanctions, export controls, telecommunications rules, data-protection law, intellectual-property law, and current registry and routing policies. WLX may request information needed to meet those duties and may refuse service where it reasonably identifies a compliance risk.

WLX may preserve or disclose information and take action in response to a valid legal process or a lawful request from a court, regulator, law-enforcement body, registry, upstream, or facility, subject to applicable law.

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, fire, flood, war, civil disorder, labor disruption, epidemic, power or cable failure, major cyberattack, DDoS attack, supplier or registry action, government restriction, or broad Internet failure. This does not excuse payment already due. The affected party must take reasonable steps to reduce the impact.

Changes, Notices, and Governing Law

WLX may update these Terms to reflect legal, regulatory, security, technical, registry, or service changes. The current version and effective date will be published on the website. Where practicable, WLX will give advance notice of a material change. Continued use after the effective date constitutes acceptance; if you do not accept a material change, you may cancel the affected recurring service before its next renewal, subject to any committed term.

Notices may be delivered through the customer portal, ticket system, account email, invoice, or website. You must keep your account email and contact details current. Legal notices to WLX should be sent to [email protected] and the registered address shown in the Privacy Policy.

You may not assign the agreement without WLX’s written consent. WLX may assign it as part of a reorganization, financing, merger, sale, or transfer of the relevant business. If a provision is unenforceable, the remainder continues. Failure to enforce a right is not a waiver.

Subject to mandatory law, these Terms and the relevant service are governed by the laws of Hong Kong, without regard to conflict-of-law rules, and the courts of Hong Kong have exclusive jurisdiction. These Terms, the accepted order, and incorporated documents form the entire agreement for the service. If the English and Chinese versions differ, the English version prevails.
